All Vendors registered in the Avangate Commerce Platform who comply with the rules mentioned below are automatically registered and eligible for the Avangate Vendor Contest - World CUP 2014 ("Contest"). The Avangate Vendor Contest - World CUP 2014 is a special and limited marketing program organized by Avangate BV, a Netherland company ("Avangate") that allows the Vendors to participate and win prices according to the following rules:

1. The Contest is open to all vendors registered in the Avangate Commerce Platform until July 13, 2014 23:59:59 GMT.

2. The Contest will be valid in the following period June 12, 2014 (the "Starting Date") and July 13, 2014 (the "Closing Date").

3. To be eligible and participate to this Contest, each participant has to register in the dedicated landing page to enroll in the Contest and increase his volumes sold via Avangate according to the mentions indicated in Section 4.

4. There will be three categories in the Contest plus a special category:

• A Category (All Star League) – the vendor that will generate the highest volumes increase in the tier 1,500 to unlimited points during the Contest, minus net of chargebacks.
• B Category (Professional League) - the vendor that will generate the highest volumes increase in the tier 750 to 1,500 points during the Contest, minus net of chargebacks.
• C Category (Junior League) the vendor that will generate the highest volumes increase in the tier 150 to 750 points during the Contest, minus net of chargebacks.
• D Category (Special Award) - the vendor with $0 sales in the period January 1, 2014 until June 12, 2014 who will have the highest number of points.

5. There will be one winner for each category from A to D described above. The winner will be determined as the vendor that will have generated the most points within the above category volume margins and taking into consideration the correct prognostic of the World Cup Championship winning team.

$100 additional sales volumes, compared with the previous period (May 11, 2014 until June 11, 2014) will be the equivalent of 1 point in the contest. By indicating the winner of the World Cup Championship the Vendor will receive extra 15% bonus points that will be added to their final number of points. The Vendor that did not guess the winner of the World Cup Championship will not benefit from the 15% extra bonus points and their final number of points will be determined solely by the number of orders.

In case there is more than one vendor with the same number of orders - highest in its interval - the winner will be determined as the vendor with the highest increase in its commissions.

6. The prizes will be as follows:

• A category: a trip to Rio de Janeiro - Brazil for 2 persons- 3 days in 2014 (value of 3,000USD): flight and accommodation. The prize will be chosen and agreed with the winner starting September 2014. The winning Vendor will be announced by email at the mailing address specified in the Avangate system.
• B category: a cool Drone worth max 500$. The prize will be sent to the winner starting August 2014 at the mailing address specified in the Avangate system. The winning Vendor will be announced by email at the mailing address specified in the Avangate system.
• C category: Sportswear: official outfit of the World Cup 2014 winner: worth max 200$. The prize will be sent to the winner starting August 2014 at the mailing address specified in the Avangate system. The winning Vendor will be announced by email at the mailing address specified in the Avangate system.
• D category: Sony PlayStation4 worth max 400$. The prize will be sent to the winner starting August 2014 at the mailing address specified in the Avangate system. The winning Vendor will be announced by email at the mailing address specified in the Avangate system.

All prizes not awarded will remain with Avangate. Shipping costs will be supported by Avangate.

7. The winner(s) agree to participate in any publicity or other such promotional activities which Avangate may reasonably require in connection with the Contest and Avangate shall have the right to use each winner's name, likeness, image, voice, biographical information and website for advertising and promotional purposes in connection with the Contest in all media without further notice and without the need to make any payment to any winner for such use.

8. The law applicable is the Nederland law and all and any disputes will be settling at the competent courts in Amsterdam, The Nederland.
